If you are accepting these terms on behalf of a company, enterprise, or another legal entity, you represent and warrant that you hold the legal authority to bind such entity to these covenants.

All engagement fees, subscription parameters, retainers, and billing structures are specified in detail within your separate signed Statement of Work (SOW) or digital billing portal. The following guidelines govern all payments:

• Upfront Commitment Fee: All project-based services (like custom React app, WordPress, or Shopify development) require an initial deposit payment as dictated in the SOW before work initiates.
• Subscription & Retainer Cycles: Recurring marketing retainers (SEO, AI-SEO, Google Ads, Meta Ads management) are invoiced in advance on a monthly rolling cycle.
• Late Payment Penalties: Payments delayed beyond 15 days of invoice generation may lead to temporary suspension of active web campaigns, hosting credentials, or engineering queues, and may incur an interest fee of 1.5% per month.
• Refund Limitations: Since our services involve real-time resource allocations, manual ad optimizations, and customized programmatic builds, all payments made to us are strictly non-refundable once campaign operations or codebase sprint deployments have begun.

4. Intellectual Property and Source Code Ownership

Our collaborative relationship governs intellectual assets in the following manner:

• Client Ownership: Upon successful settlement of all outstanding invoices, you retain total ownership rights to all custom-developed website pages, graphical layouts, ad creatives, copy materials, and codebases developed specifically for your business under our agreement.
• Thriveweb Background IP: We retain ownership of all generic templates, pre-existing algorithmic models, automated script architectures, or AI tooling integrations used during performance engineering. You are granted a non-exclusive, royalty-free, perpetual license to use these pre-existing models solely within your developed application.
• Marketing Showcasing Rights: Unless explicitly restricted by an NDA or a specific written clause in your SOW, Thriveweb reserves the right to display your brand logo, case study summaries, and visual interface screenshots in our online portfolio to showcase past accomplishments.

5. Client Duties and Responsibilities

To guarantee campaign velocities and design timelines are consistently maintained, the client agrees to:

• Provide accurate administrative access (such as Tag Managers, DNS, Google Search Console, Shopify Admin, etc.) required to execute optimizations.
• Provide brand materials, logo variants, and informational resources within reasonable deadlines.
• Refrain from modifying core SEO configurations, landing page parameters, or campaign bid budgets mid-campaign without coordinating with our dedicated Account Strategist first, as this may drastically impact tracking algorithms.

6. Limitation of Liability and Performance Disclaimers

While we apply cutting-edge performance metrics, mathematical models, and AI analytics to maximize campaign conversion rates:

SEO & SGE Disclaimer: Search algorithms (Google Core Updates, ChatGPT indices, Perplexity recommendations) are proprietary and constantly changing. Thriveweb Technologies cannot guarantee specific search positions or instant SGE citation counts. All marketing growth projections are estimates based on historical audit trends.

Third-Party Integrations: We do not accept liability for service disruptions caused by API changes, service outages, or administrative suspensions from external parties (such as Shopify, hosting servers, Google Ads, or Meta Business Suite).

Indirect Damages: In no event shall Thriveweb Technologies Pvt. Ltd., its directors, or its employees be liable for any indirect, special, incidental, or consequential damages (including loss of profits, data, or operational access) arising out of your utilization of our digital structures.

7. Termination

Either party may terminate an ongoing campaign or monthly subscription by providing a 30-day prior written notice via email to their primary representative. Upon termination, the client is responsible for paying all outstanding dues accrued up to the date of termination, and Thriveweb will turn over all relevant client access credentials, design source files, and database exports upon full financial clearance.

8. Governing Law & Jurisdiction

These Terms and Conditions shall be governed, interpreted, and enforced in accordance with the laws of India. Any legal dispute, claim, or litigation arising out of or related to our service structures shall be resolved exclusively within the state and local courts situated in the headquarters of Thriveweb Technologies Pvt. Ltd.

9. Updates to These Terms

Thriveweb Technologies reserves the right, at our sole discretion, to modify, update, or replace these terms at any time. When modifications are published, we will revise the "Last Updated" timestamp at the top of this page. Your continued use of our services or website following any such changes constitutes your acceptance of the updated terms.
